Welcome to Vitly. These Terms of Service ("Terms") govern your access to and use of Vitly's enterprise wellness platform, website, dashboards, analytics tools, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Description of Services

Vitly provides AI-powered enterprise wellness solutions designed to support employee health and productivity. The Services may include:

• Personalized health, fitness, and nutrition planning
• Wellness analytics dashboards
• Integration with employer HR systems
• Evidence-based recommendations using scientific databases
• Reporting tools and employee wellness metrics

Vitly reserves the right to modify or improve the Services at any time.

2. Eligibility and Enterprise Accounts

The Services are intended for businesses and organizations. To use the Services:

• An organization must create an enterprise account
• Authorized administrators manage employee access
• Each user must provide accurate and current information

Organizations are responsible for safeguarding account credentials and all activity under their accounts.

3. Health Disclaimer

Vitly provides wellness guidance for informational and preventive purposes only.

The Services:

• Are not medical advice
• Do not replace licensed healthcare professionals
• Are not intended to diagnose or treat medical conditions

Users should consult qualified medical professionals before making health decisions.

Vitly is not responsible for outcomes resulting from independent health choices.

4. Data Protection and Privacy

Vitly processes personal and wellness data in accordance with its Privacy Policy and applicable data protection laws.

Organizations agree to:

• Obtain necessary employee consent
• Comply with workplace privacy regulations
• Use employee data responsibly

Vitly implements industry-standard safeguards to protect data confidentiality and integrity.

5. Acceptable Use

You agree not to:

• Use the Services unlawfully
• Attempt unauthorized access
• Reverse engineer or disrupt the platform
• Misuse employee data
• Interfere with system security

Vitly may suspend accounts for violations.

6. Intellectual Property

All platform software, algorithms, analytics models, and materials are owned by Vitly or its licensors.

Organizations receive a limited, non-exclusive license to use the Services for internal business purposes.

No ownership rights are transferred.

7. Fees and Payment

Enterprise customers agree to pay subscription fees according to their service agreement.

Unless stated otherwise:

• Fees are non-refundable
• Subscriptions renew automatically
• Pricing may change with notice

Failure to pay may result in service suspension.

8. Service Availability

Vitly aims to provide reliable service but does not guarantee uninterrupted availability.

Maintenance, updates, or external factors may temporarily affect performance.

Vitly is not liable for downtime beyond reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Vitly shall not be liable for:

• Indirect or consequential damages
• Loss of business or productivity
• Data loss beyond reasonable safeguards

Vitly's total liability shall not exceed the fees paid in the preceding 12 months.

10. Indemnification

Organizations agree to indemnify Vitly against claims arising from:

• Misuse of the Services
• Violation of laws or employee rights
• Breach of these Terms

11. Termination

Either party may terminate service according to contractual agreements.

Vitly may suspend access immediately for:

• Security risks
• Legal violations
• Breach of Terms

Upon termination, access rights end and data handling follows the Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the Netherlands unless otherwise agreed in writing.

Disputes shall be resolved in competent Dutch courts.

13. Changes to Terms

Vitly may update these Terms periodically. Continued use constitutes acceptance of revised Terms.
